Payment Terms
- Payment schedules and amounts will be specified in individual service agreements.
- Invoices are due within 30 days of receipt unless otherwise specified.
- Late payments may incur interest charges of 1.5% per month or the maximum allowed by law.
- All prices are exclusive of applicable taxes unless stated otherwise.
- Refunds are subject to our separate Refund Policy.
Intellectual Property
- Client retains ownership of their original content, data, and business information.
- Nexudo Tech retains ownership of our proprietary methodologies, tools, and frameworks.
- Upon full payment, client receives ownership of custom-developed code and designs.
- Third-party licenses and components remain subject to their respective terms.
- We reserve the right to showcase completed work in our portfolio unless otherwise agreed.
Limitation of Liability
- Our liability is limited to the amount paid for the specific service in question.
- We are not liable for indirect, incidental, or consequential damages.
- We do not guarantee specific business results or performance metrics.
- Client is responsible for backing up their data and content.
- Force majeure events are excluded from liability claims.
Project Delivery & Timelines
Project timelines are estimates based on scope and complexity. Actual delivery may vary due to:

- • Technical challenges or third-party dependencies
- • Force majeure events beyond our control
We will communicate any delays promptly and work to minimize impact on your business.
Client Responsibilities
Content & Materials
Provide accurate, complete, and timely content, images, and materials required for the project.
Feedback & Approvals
Provide timely feedback and approvals to maintain project schedules and deadlines.
Access & Credentials
Provide necessary access to systems, accounts, and platforms required for service delivery.
Legal Compliance
Ensure all provided content complies with applicable laws and regulations.
Warranty & Support
Warranty Period: 90 days from project completion for bug fixes and technical issues.
Support Scope: Technical support for functionality as originally specified and delivered.
Exclusions: Issues caused by third-party modifications, hosting problems, or scope changes.
Extended Support: Available through separate maintenance agreements.
Termination
By Client: Projects may be terminated with 30 days written notice. Payment is due for work completed.
By Nexudo Tech: We may terminate for non-payment, breach of terms, or other material violations.
Effect of Termination: All work products and deliverables completed and paid for will be provided to the client.
Survival: Payment obligations, confidentiality, and limitation of liability clauses survive termination.
Governing Law & Disputes
Jurisdiction: These terms are governed by the laws of India.
Dispute Resolution: We encourage resolution through direct communication first.
Mediation: Unresolved disputes will be subject to binding mediation before litigation.
Venue: Any legal proceedings will be conducted in Thiruvarur, Taminadu.
